1. Who we are

These Terms & Conditions (“Terms”) govern use of the website, apps, and related services (the “Platform”) operated by SafedealNG (“we”, “us”, “our”). [Insert registered legal name, RC number, and registered address if different from branding.]

By creating an account, listing or buying items, using escrow, or otherwise using the Platform, you agree to these Terms and the policies linked here (including the Acceptable Use Policy, Shipping Policy, and Returns Policy). If you do not agree, do not use the Platform.

2. Who may use the Platform

You must be at least 18 years old. You may use the Platform as a consumer (B2C) or on behalf of a business (B2B). If you act for a business, you represent that you have authority to bind that business.

3. What the Platform is

• 3.1 Marketplace. SafedealNG provides an online venue for sellers and buyers. Unless we say otherwise in writing, we are not the seller of items listed by users.
• 3.2 SafeDeal Escrow. Where you use SafeDeal Escrow, payments are handled as follows unless we describe a different flow on the Platform: the seller (merchant) confirms dispatch/delivery as required by the Platform; the buyer confirms receipt; after those steps are completed in line with our rules, funds are released to the merchant (subject to disputes, reversals required by law, or payment partner rules).
• 3.3 No guarantee of outcome. We do not guarantee that any listing will sell, that any buyer will complete a purchase, or any particular search ranking or visibility except where we expressly offer a paid feature (e.g. premium or prioritised placement) on the terms stated at purchase.

4. Accounts and security

You must provide accurate information and keep it updated. You are responsible for your login credentials and for activity under your account. Tell us promptly about unauthorised use. We may suspend or close accounts that breach these Terms, our policies, or applicable law.

5. Listings and transactions

Sellers must describe items honestly (including defects and delivery obligations). Buyers must pay as agreed when they commit to a purchase. Both sides must cooperate in good faith with escrow steps (including delivery and receipt confirmation where applicable).

6. Fees

• 6.1 We may charge: commission on transactions processed through escrow; listing fees for premium or prioritised listings; and standard withdrawal fees (and any other fees shown on the Platform or at checkout).
• 6.2 Fees, timing, and currency are as displayed at the time you incur them unless we notify you otherwise as required by law.
• 6.3 Payments may be processed by third-party providers; their terms may apply in addition to these Terms.

7. Shipping and delivery

Shipping is from seller to buyer unless a specific programme states that we fulfil orders. Details are in our Shipping Policy and in each listing or checkout where applicable.

8. Returns and refunds

Returns are seller-specific (including windows, restocking, and eligibility by category) subject to our Returns Policy and mandatory rights under Nigerian law where they apply. Escrow release and refunds may follow our dispute procedures.

9. Intellectual property

The Platform, our branding, and our content are protected. You grant us a licence to use content you submit (e.g. listings, images) to operate and promote the Platform, as permitted by law and your settings.

10. Disclaimers

To the fullest extent permitted by Nigerian law, the Platform is provided “as is” and “as available”. We do not warrant uninterrupted or error-free operation.

11. Limitation of liability

To the fullest extent permitted by Nigerian law, we are not liable for indirect, consequential, or special losses, or loss of profits or data, except where such exclusion is not allowed. Our total liability for claims relating to these Terms or the Platform (where not prohibited by law) may be limited to fees you paid to us in the three months before the claim or another cap required by law—your lawyer should set the exact cap.

12. Indemnity

You will indemnify us against claims, losses, and reasonable costs arising from your misuse of the Platform, breach of these Terms, or breach of law or third-party rights, except where caused by our fraud or wilful misconduct.

13. Suspension and termination

We may suspend or terminate access to protect users, comply with law, or manage risk. Clauses that should survive (e.g. liability, indemnity, governing law) continue after termination.

14. Changes

We may update these Terms by posting a new version and updating the “Last updated” date. We will give any additional notice required by law. Continued use after the effective date may mean acceptance where the law allows.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of Nigeria have jurisdiction, subject to any mandatory consumer or other rules that cannot be contracted away.
